Terms of Service
Terms governing authorized use of OrderlyClass and its connected educational applications.
- Version
- 2026.10.1
- Audience
- Authorized adult account holders and school or district representatives in Texas
- Effective date
Agreement and operator
These Terms of Service are between Orderly Class LLC, 4846 Old Windthorst Road, Wichita Falls, Texas 76310 (“OrderlyClass,” “we,” or “us”) and the authorized adult or school or district representative using the service. Questions and legal notices may be sent to support@orderlyclass.com.
By creating or using an adult account on or after the effective date, the adult user confirms that they have read these Terms and have authority to use the service for the applicable school or district. A signed district agreement controls if it conflicts with these Terms.
School authorization and student accounts
Teachers and staff may use OrderlyClass only with authorization from their school or district. A teacher may not independently authorize collection of student information when district approval is required.
District-managed students are not required to accept commercial terms, payment obligations, indemnity, arbitration, publicity terms, or broad data licenses. Student access is based on school or district authorization and the applicable student and child privacy notices.
District agreements and paid plans
Current or evaluation access may be offered without charge. Paid subscriptions, pricing, taxes, renewal, procurement requirements, service levels, and payment terms will be stated in a separate signed school or district agreement or order form.
A district agreement prevails over these Terms for school data, payment, service levels, security commitments, legal requirements, and other conflicting provisions.
Accounts and security
- Provide accurate account information and use only identities, courses, campuses, and records the school authorizes.
- Protect passwords, multifactor credentials, class codes, and temporary credentials, and promptly report suspected unauthorized access.
- Do not share an individual account or impersonate another person. Administrators must use approved delegation or impersonation tools when assistance is necessary.
- The school or district is responsible for deciding which staff receive administrative roles and which connected applications are enabled.
Permitted and prohibited use
OrderlyClass may be used only for authorized educational, instructional, and school-administration purposes. Users must not:
- Access data, accounts, classes, or systems without authorization or attempt to bypass security controls.
- Disrupt, overload, probe, reverse engineer, scrape, or introduce malicious code into the service except through a separately authorized security assessment.
- Upload unlawful material or data the school has not approved OrderlyClass to process.
- Use school data for advertising, profiling, surveillance unrelated to school purposes, or other unrelated commercial activity.
- Violate another person’s intellectual-property, privacy, publicity, or other rights.
- Rely on AI-generated or automated output without appropriate educator review and professional judgment.
School data and privacy
The school or district retains ownership and control of school data. It grants OrderlyClass a limited, nonexclusive right to host, process, transmit, back up, and display school data only as necessary to provide, secure, support, and improve the district-directed service.
OrderlyClass does not sell student data, use it for targeted advertising, or use school data to train general-purpose AI models. Data handling is further described in the Privacy Policy and any signed district agreement.
AI prompts and connected applications
Current AI-help features generate text that a teacher may copy into an outside AI service. OrderlyClass does not transmit that copied prompt to an AI provider. The teacher and district are responsible for selecting and approving any outside service and for avoiding student-identifying or sensitive information unless that workflow is expressly approved.
Any future direct AI integration will require affirmative activation after district review. These Terms also govern connected OrderlyClass applications that use shared accounts, courses, rosters, or school data. Additional app-specific terms may apply where displayed.
Ownership and feedback
OrderlyClass and its licensors retain ownership of the service, software, designs, documentation, trademarks, and other platform materials. Schools, teachers, and students retain their rights in materials they provide, subject only to the limited processing right needed to operate the service.
If an adult user voluntarily provides product feedback, OrderlyClass may use it to improve the service without compensation, but this permission does not include confidential school data, student information, or content the user lacks authority to share.
Availability and changes to the service
The service is provided on an “as available” basis without a guaranteed uptime unless a signed district agreement states otherwise. Support is provided on a reasonable best-effort basis. We will provide notice of planned maintenance when practical.
Features may be added, changed, limited, or retired to improve the service, protect security, comply with law, or respond to district needs. Material reductions affecting a paid district service will be handled under the applicable district agreement.
Suspension, termination, and data return
OrderlyClass may suspend or limit access when reasonably necessary to address a security threat, unauthorized or abusive use, a legal requirement, a district instruction, or nonpayment under a signed agreement. Advance notice will be provided when reasonably possible and safe.
When service ends, authorized schools or districts may request an export of school data for 30 days. Active data may then be deleted subject to the Privacy Policy, applicable law, a legal hold, and any signed district agreement.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDERLYCLASS IS PROVIDED “AS IS” AND “AS AVAILABLE.” ORDERLY CLASS LLC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
OrderlyClass supports educator and administrator decisions but does not replace professional judgment, district policy, required accommodations, official student-information systems, emergency services, or legal advice. Some jurisdictions do not allow particular disclaimers, so these limitations apply only to the extent permitted by law.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDERLY CLASS LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM THE SERVICE.
ORDERLY CLASS LLC’S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT PAID FOR THE AFFECTED SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 FOR FREE USE. THIS LIMIT DOES NOT APPLY WHERE PROHIBITED BY LAW, AND A SIGNED DISTRICT AGREEMENT MAY PROVIDE DIFFERENT TERMS.
Public schools, indemnity, and legal rights
Nothing in these Terms waives governmental or sovereign immunity, statutory duties, public-information obligations, or other rights that cannot lawfully be waived. Any indemnification obligation must appear in a separately signed district agreement and is subject to applicable law.
Governing law and disputes
Texas law governs these Terms without regard to conflict-of-law rules, except where federal law or another non-waivable law controls. Subject to governmental immunity and mandatory venue law, state-court proceedings must be brought in Wichita County, Texas, and federal proceedings must be brought in the United States District Court for the Northern District of Texas.
These Terms do not require arbitration and do not include a class-action waiver. Before filing a claim, the parties should attempt in good faith to resolve the matter through the support and legal-notice contact unless urgent relief is reasonably necessary.
Changes to these Terms
OrderlyClass will ordinarily provide at least 30 days’ notice before a material change takes effect, using email, an in-app notice, or district communication. A change required by law or needed to address an urgent security issue may take effect sooner, with notice when reasonably possible.
Prior versions will remain identified in the legal archive. Continued adult use after an updated effective date constitutes acknowledgement of the revised Terms where permitted, subject to any district-agreement approval requirements.
General terms and contact
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. Users may not transfer their rights or accounts without authorization; Orderly Class LLC may transfer these Terms as part of a merger, reorganization, financing, or sale subject to applicable student-data restrictions and district agreements.
Legal notices and questions about these Terms may be sent to support@orderlyclass.com or mailed to Orderly Class LLC, 4846 Old Windthorst Road, Wichita Falls, Texas 76310.
